Legal & Business Affairs Manager

Working as part of the Legal & Business Affairs team, the Business Affairs Manager is responsible for negotiating, drafting and managing a wide range of international distribution, acquisition and exploitation agreements across Kino Swiat’s film and television activities. The role supports the commercial teams in securing and maximizing rights exploitation opportunities worldwide while ensuring contractual compliance and mitigating legal and business risks.
The Business Affairs Manager will work closely with International Acquisition, Sales (Local and International), Distribution, Technical Operations, Finance and Rights Management teams and will play a key role in supporting the commercial exploitation of both new releases and the STUDIOCANAL library.
Key Responsibilities
- Drafting, reviewing and negotiating international content acquisition agreements, including related amendments, renewals and ancillary documentation.
- Managing Notices of Assignment (NOAs) and associated contractual and administrative documentation.
- Drafting, reviewing and negotiating sales and licensing agreements covering:
- Television exploitation;
- SVOD, TVOD, AVOD and other digital platform exploitation;
- Distribution and licensing of titles from the catalogue.
- International sales contracts
- Drafting and negotiating theatrical distribution agreements.
- Providing business affairs support to the Sales and Distribution teams, ensuring contractual arrangements align with business objectives.
- Advising internal stakeholders on rights, contractual obligations, exploitation restrictions and risk management considerations.
- Supporting legal and contractual matters relating to Technical Operations, including technical delivery requirements, asset access, acquisition of the necessary rights and licenses for exploitation and related agreements.
- Liaising with internal departments including Sales, Distribution, Finance, Rights Management and Technical Services to ensure effective contract execution and compliance.
- Preparing and coordinating contractual approvals and summaries for internal management
- Maintaining accurate contract records and ensuring timely entry, update and monitoring of agreements within Unity and other rights management systems.
- Supporting rights tracking, contractual compliance and post-signature contract administration.
- Assisting with dispute resolution, contractual interpretation and other legal and business affairs matters as required.
- Monitoring industry developments and market practices relating to content acquisition, distribution and digital exploitation.
- Acting as a backup for other Legal & Business Affairs team members during periods of absence, ensuring continuity of contractual, legal and rights management activities.
Experience, Skills and Knowledge
- Qualified lawyer or equivalent legal/business affairs experience within the media, entertainment or content distribution sector.
- Significant experience in a business affairs, legal affairs or commercial contracting role within a film studio, television distributor, international sales agent, broadcaster, streaming platform or media law firm.
- Strong understanding of international content acquisition, licensing and distribution practices.
- Demonstrated experience negotiating television, digital and theatrical distribution agreements.
- Excellent contract drafting and negotiation skills with strong commercial awareness.
- Knowledge of rights management principles and content exploitation across multiple platforms and territories.
- Ability to assess legal risk while supporting pragmatic commercial outcomes.
- Strong organizational skills with excellent attention to detail and the ability to manage multiple priorities simultaneously.
- Ability to work autonomously while collaborating effectively with internal and external stakeholders.
- Excellent verbal and written communication skills in English; additional languages would be advantageous.
- Proficiency in Microsoft Office 365 and contract/rights management systems
